Terms of Service

These terms explain how Nightlamp is provided, what customers are responsible for, and how we handle service changes.

Nightlamp is operated by VectraSEO LLC and offered as a managed monitoring and diagnostics service. These terms describe the service scope, what customers are responsible for, how billing and automatic renewal work, and how we handle account access, warranties, liability, and disputes. Nightlamp does not push code or deploy releases for customers — when a plan includes diagnostics, we recommend a fix; the customer ships it. The service is provided "as is," our liability is limited as set out below, and these terms are governed by the laws of the Commonwealth of Pennsylvania. Questions: hi@nightlamp.app.

1. Who operates Nightlamp

Nightlamp is operated by VectraSEO LLC, a limited liability company. References to Nightlamp, we, us, or our mean VectraSEO LLC as the provider of the Nightlamp service. References to you, your, or customer mean the individual or entity that opens an account or enters an order for the service.

By creating an account, accepting an order, or using the service, you agree to these terms. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization. Questions about these terms can be sent to hi@nightlamp.app.

2. The service

Nightlamp provides end-to-end flow monitoring, incident triage, and written diagnostics for customer applications. The exact scope depends on the plan, integrations, and read-only permissions configured in the product.

Nightlamp does not push code, deploy releases, or modify customer systems on the customer's behalf. When a plan includes diagnostic deliverables, we determine a likely root cause and recommend a fix; implementation of any fix is the customer's responsibility. Nightlamp is a monitoring and diagnostics aid, not a guarantee of uptime, and is not a substitute for the customer's own testing, backups, or operational controls.

3. Customer responsibilities

Customers are responsible for the accuracy of account information, the legality of their applications, and the permissions they grant to Nightlamp.

Customers should not provide production credentials, regulated data, or sensitive personal data unless it is necessary for the requested service and covered by an appropriate agreement. You are responsible for maintaining your own backups and for any data or content you submit to the service.

4. Acceptable use

You may not use Nightlamp to monitor or probe systems you do not own or are not authorized to test, to gain unauthorized access to any system, or to violate any applicable law or third-party right.

You also may not interfere with or disrupt the integrity or performance of the service, attempt to reverse engineer or circumvent its access controls except to the extent that restriction is prohibited by law, resell or provide the service to third parties except as expressly permitted, or use the service to store or transmit malicious code. We may suspend use that we reasonably believe violates this section.

5. Accounts and access

Customers must keep sign-in methods, passkeys, and authorized email addresses secure, and are responsible for activity that occurs under their account. We may suspend or limit access when we reasonably believe an account is compromised, misused, or creating operational or security risk.

Nightlamp may use audit logs and access controls to investigate incidents, protect the service, and support customer requests.

6. Fees, billing, automatic renewal, and cancellation

Paid plans are billed in advance on a recurring basis (for example, monthly or annually) at the price and interval shown at checkout or in a signed order. Unless stated otherwise, paid plans renew automatically for successive periods of the same length, and the saved payment method is charged at the start of each renewal period, until the plan is cancelled. Any free trial or free tier converts to the paid plan you selected at the end of the trial unless you cancel before it ends.

You can cancel at any time from the in-product billing portal (Stripe), which takes effect at the end of the current paid period; you keep access until then. Cancellation stops future renewals. Except where required by law or expressly stated, fees already paid are non-refundable and we do not pro-rate partial periods. We will give advance notice of any material price increase before it applies to a renewal, and continued use after the change takes effect is acceptance of the new price.

Prices exclude taxes; you are responsible for applicable taxes, and payment-processor fees or custom implementation work may be handled separately where applicable. Customers may request export or deletion assistance at hi@nightlamp.app. Some operational records may be retained for a limited period where needed for security, billing, dispute resolution, or legal obligations.

7. Intellectual property

As between the parties, VectraSEO LLC owns the Nightlamp service, software, and all related intellectual property; you own your application data and the content you submit. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, subject to these terms.

You grant us the limited right to process your data and configuration as needed to provide, secure, and improve the service. We may use aggregated, de-identified data that does not identify you or your end users to operate and improve Nightlamp. Any feedback you provide may be used without restriction or obligation to you.

8. Service warranties and disclaimers

We provide the service with reasonable skill and care. Except for that commitment, and to the maximum extent permitted by law, the service is provided "as is" and "as available," and we disclaim all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that it will detect or prevent every incident, failure, or outage. Monitoring depends on third-party platforms, networks, and the access you configure, and some events are outside our control.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the service, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the service or these terms will not exceed the amount you paid us for the service in the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law.

10. Indemnification

You will defend and indemnify VectraSEO LLC against third-party claims, damages, and costs arising from your application, your data, your end users, or your use of the service in violation of these terms or applicable law, except to the extent the claim arises from our own breach of these terms.

11. Term and termination

These terms apply for as long as you use the service or hold an account. Either party may terminate for the other's material breach that remains uncured for 30 days after written notice; we may suspend or terminate immediately for non-payment, security risk, or use that violates the acceptable-use section.

On termination, your right to use the service ends. We will make your data available for export on request for a limited window and then delete it on the schedule described in the privacy notice and security page, except where retention is required for legal, security, or billing purposes. Sections that by their nature should survive — including fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.

12. Availability and changes

We work to keep Nightlamp reliable, but the service may be unavailable during maintenance, third-party outages, infrastructure incidents, or events outside our control.

We may update these terms as the product changes. Material updates will be reflected on this page with a new effective date and, where appropriate, communicated to customers in advance. Continued use after an update takes effect is acceptance of the updated terms.

13. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Pennsylvania for any dispute that is not otherwise resolved, and each party waives any objection to venue there. Nothing here limits any non-waivable rights you have as a consumer under the law of your home jurisdiction.

Before filing a claim, the parties will try in good faith to resolve the dispute informally by contacting hi@nightlamp.app.

14. General

These terms, together with any order and the policies referenced here, are the entire agreement between the parties on this subject and supersede prior discussions. If any provision is held unenforceable, the rest remains in effect. A party's failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. The parties are independent contractors, and these terms create no agency, partnership, or joint venture.
